1. Introduction

These Terms & Conditions ("Terms") govern your access to and use of the websites, applications, and services ("Services") provided by AgileTechForge ("ATF", "we", "us", or "our"), a software development company headquartered in Islamabad, Pakistan. By accessing or using our Services, engaging us for a project, or signing a proposal or statement of work with us, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

2. Our Services

ATF provides custom software development services including, but not limited to, web development, mobile app development, ERP systems, clinic management systems, fleet management systems, and HR management systems. The specific scope, deliverables, timelines, and fees for any engagement are defined in a separate proposal, quotation, or statement of work ("SOW") agreed upon with the client. In the event of any conflict between these Terms and a signed SOW, the SOW shall prevail for that engagement.

3. Client Responsibilities

• Provide accurate, complete, and timely information, content, and access required to deliver the Services.
• Review and approve deliverables, designs, or milestones within the timeframe specified in the SOW.
• Ensure that any content, data, or materials supplied to us do not infringe on the rights of any third party.
• Make payments in accordance with the agreed payment schedule.

4. Fees and Payment

Fees for our Services are set out in the applicable proposal or invoice. Unless otherwise agreed in writing, projects are billed in milestones or on a recurring basis, and invoices are due within the period stated on the invoice. Late payments may result in suspension of work or Services until outstanding amounts are settled. All fees are exclusive of applicable taxes unless stated otherwise.

4.1 Custom Development Services

Custom software development engagements (web, mobile, ERP, and bespoke integrations) are billed at our standard hourly rate of $22 USD per hour, unless a fixed-price quote is agreed in the SOW. Time is tracked and reported transparently, and clients are invoiced on a milestone or periodic basis as agreed.

4.2 Product Subscriptions

Our ready-made products (such as our Clinic Management, Fleet Management, and HR Management systems) are available on a subscription basis at $9 USD per user, per month, billed monthly in advance. Subscription fees are subject to change with prior notice, and continued use after a fee change takes effect constitutes acceptance of the new fee.

5. Intellectual Property

Unless otherwise agreed in writing, upon full payment for a project, ownership of the final deliverables (source code, designs, and documentation created specifically for that engagement) transfers to the client. ATF retains the right to reuse general-purpose tools, frameworks, libraries, and know-how developed independently of the client's confidential information. Until full payment is received, all deliverables remain the intellectual property of ATF.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of an engagement and to use such information solely for the purpose of fulfilling the Services, unless disclosure is required by law.

7. Warranties and Disclaimers

We strive to deliver high-quality software and will use reasonable skill and care in performing the Services. However, our Services are provided "as is" and "as available" without warranties of any kind, express or implied, except as expressly stated in a signed SOW. We do not guarantee that our Services will be uninterrupted, error-free, or fully compatible with every third-party system.

8. Limitation of Liability

To the maximum extent permitted by law, ATF shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to the use of our Services. Our total liability for any claim arising from an engagement shall not exceed the total fees paid by the client for that specific engagement in the six (6) months preceding the claim.

9. Termination

Either party may terminate an engagement in accordance with the terms set out in the applicable SOW, typically with written notice. Upon termination, the client shall pay for all work completed up to the date of termination, and ATF will deliver all completed deliverables for which payment has been made.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the Islamic Republic of Pakistan. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Islamabad, Pakistan.

11. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Continued use of our Services after changes are posted constitutes acceptance of the updated Terms.
